01Acceptance of terms

By downloading, installing, or using VeriPDF ("the Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Software.

These Terms constitute a legal agreement between you and VeriPDF ("we", "us", or "our").

02Description of service

VeriPDF is a desktop application for PDF document management, including viewing, editing, annotating, OCR processing, and security features. The Software operates primarily on your local device.

03License grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Download and install the Software on devices you own or control
  • Use the Software for personal or business purposes
  • Access features according to your subscription tier

04Subscription tiers

4.1Personal (Free)

Free tier with basic features. May include usage limitations as specified on our pricing page.

4.2Paid tiers (Personal Plus, Pro, Team)

Paid plans are sold either as an annual subscription, billed yearly until cancelled, or as a one-time lifetime purchase. A lifetime purchase grants perpetual use of the current major version plus three years of free major-version updates; security and compatibility updates may continue beyond that period. Team plans are billed per seat. Features and pricing are as specified on our pricing page at the time of purchase.

05Payments and billing

  • Payment is processed by Stripe.
  • For annual subscriptions, by providing payment information you authorize a recurring yearly charge; subscriptions automatically renew unless canceled before the renewal date.
  • Lifetime purchases are a single one-time charge. Nothing renews and no recurring charge is authorized.
  • Prices may change with 30 days notice before your next billing cycle.
  • All fees are non-refundable except as required by law or as stated in our refund policy below.

06Refund policy

We offer a 14-day money-back guarantee for new subscriptions. To request a refund:

  • Contact support within 14 days of initial purchase
  • Refunds are not available for renewal payments
  • Refunds are processed to the original payment method within 5-10 business days

07License keys

  • License keys are personal and non-transferable
  • Each license allows activation on a limited number of devices as specified by your plan
  • Sharing or distributing license keys is prohibited
  • We reserve the right to revoke licenses that violate these Terms

08Prohibited uses

You agree not to:

  • Reverse engineer, decompile, or disassemble the Software
  • Modify, adapt, or create derivative works
  • Remove or alter proprietary notices or labels
  • Use the Software to violate any laws or regulations
  • Share, sell, or sublicense your license
  • Circumvent license restrictions or security measures
  • Use the Software in any way that could harm our infrastructure

09Intellectual property

The Software, including all code, graphics, logos, and documentation, is owned by VeriPDF and protected by copyright and other intellectual property laws. Your license does not grant ownership of the Software.

10Your content

You retain all rights to documents you create or modify using the Software. We do not claim any ownership over your content. Since the Software operates locally, your documents remain on your device.

11Updates and changes

We may release updates to the Software that include new features, bug fixes, or security patches. Some updates may be automatic. We reserve the right to modify features with reasonable notice.

12Disclaimer of warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Software will be error-free, uninterrupted, or meet your specific requirements.

13Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERIPDF SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE.

Our total liability shall not exceed the amount you paid for the Software in the 12 months preceding the claim.

14Indemnification

You agree to indemnify and hold harmless VeriPDF and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Software or violation of these Terms.

15Termination

We may terminate or suspend your license immediately if you violate these Terms. Upon termination:

  • Your right to use the Software ceases
  • No refunds will be provided for remaining subscription time
  • You must uninstall the Software from all devices

You may cancel your subscription at any time through your account settings.

16Governing law

These Terms shall be governed by the laws of the State of California, USA, without regard to conflict of law principles. Any disputes shall be resolved in the courts of San Francisco County, California.

17Changes to terms

We may modify these Terms at any time. Material changes will be communicated via email or through the Software. Continued use after changes constitutes acceptance of the modified Terms.

18Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

19Entire agreement

These Terms, together with our Privacy Policy and License Agreement, constitute the entire agreement between you and VeriPDF regarding the Software.
