End user license agreement

IMPORTANT: PLEASE READ THIS END USER LICENSE AGREEMENT ("EULA") CAREFULLY BEFORE USING VERIPDF. BY INSTALLING, COPYING, OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA.

01Definitions

  • "Software" means the VeriPDF application, including all files, libraries, and documentation.
  • "License Key" means the unique code provided to activate the Software.
  • "Licensee" means the individual or entity that has obtained a valid license.
  • "Licensor" means VeriPDF and its affiliates.
  • "Device" means a computer or workstation where the Software is installed.

02Grant of license

2.1Personal use license

For Personal and Personal Plus tiers, Licensor grants Licensee a non-exclusive, non-transferable license to install and use the Software on up to 2 (two) Devices owned or controlled by Licensee for personal purposes.

2.2Professional use license

For Pro tier, Licensor grants Licensee a non-exclusive, non-transferable license to install and use the Software on up to 3 (three) Devices for personal or commercial purposes.

2.3Team license

For Team tier, Licensor grants Licensee a non-exclusive, non-transferable license to install and use the Software according to the number of seats purchased. Each seat permits installation on up to 2 (two) Devices per user.

03License restrictions

Licensee shall NOT:

  • Copy, modify, or distribute the Software except as expressly permitted
  • Reverse engineer, decompile, disassemble, or attempt to derive source code
  • Remove, alter, or obscure any proprietary notices, labels, or marks
  • Sublicense, rent, lease, or lend the Software to third parties
  • Use the Software to develop competing products
  • Use the Software in violation of applicable laws
  • Share, publish, or distribute License Keys
  • Bypass, disable, or circumvent license validation mechanisms
  • Use the Software beyond the scope of the purchased license tier

04License key terms

  • License Keys are personal to the Licensee and non-transferable
  • One License Key may be used to activate the Software on the permitted number of Devices
  • Licensee is responsible for maintaining the confidentiality of License Keys
  • Compromised License Keys may be revoked and replaced at Licensor's discretion
  • License Keys for subscription plans remain valid only during active subscription periods

05Subscription terms

  • Paid subscriptions grant access to features as described for each tier
  • Subscriptions automatically renew unless canceled before the renewal date
  • Upon cancellation or non-renewal, access reverts to Personal (Free) tier features
  • Previously created documents remain accessible; certain editing features may be restricted
  • Verification of sealed documents is available free of charge in every tier, including Personal (Free); Licensor will not require a paid license to verify previously sealed documents

06Intellectual property

The Software is protected by copyright, trade secret, and other intellectual property laws. Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights. This EULA does not grant Licensee any ownership rights to the Software.

07Third-party components

The Software may include third-party open source components. These components are subject to their respective licenses, which are included in the Software documentation. Licensor's obligations under this EULA do not apply to such third-party components.

08Updates and support

  • Minor updates and security patches are provided free of charge during an active subscription
  • Annual subscriptions include all updates, including major-version upgrades, while the subscription is active
  • Lifetime licenses include perpetual use of the current major version plus three years of free major-version updates; security and compatibility updates may continue beyond that period
  • Support is provided according to the Licensee's subscription tier
  • Licensor reserves the right to discontinue support for older versions

09Data and privacy

The Software operates on a local-first architecture. Document processing occurs on Licensee's Device. Licensor does not have access to Licensee's documents. For information about data we do collect, see our Privacy Policy.

10Disclaimer of warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. LICENSOR DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Licensor does not warrant that the Software will meet Licensee's requirements, operate without interruption, or be error-free.

11Limitation of liability

IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Licensor's total cumulative liability shall not exceed the amounts paid by Licensee for the Software in the twelve (12) months preceding the claim.

12Indemnification

Licensee agrees to indemnify, defend, and hold harmless Licensor from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from Licensee's use of the Software or violation of this EULA.

13Termination

This EULA is effective until terminated. Licensor may terminate this EULA immediately if Licensee breaches any provision. Upon termination:

  • All rights granted under this EULA cease immediately
  • Licensee must destroy all copies of the Software
  • License Keys will be deactivated
  • No refund will be provided for any remaining subscription period

14Export compliance

Licensee agrees to comply with all applicable export laws and regulations. The Software may not be exported or re-exported to embargoed countries or individuals on sanctioned party lists.

15Governing law

This EULA shall be governed by and construed in accordance with the laws of the State of California, USA, without regard to conflict of law principles. The parties consent to the exclusive jurisdiction of the courts located in San Francisco County, California.

16Severability

If any provision of this EULA is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17Entire agreement

This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between Licensee and Licensor regarding the Software and supersedes all prior agreements.

18Amendments

Licensor reserves the right to modify this EULA at any time. Material changes will be communicated via email or the Software. Continued use of the Software after notification constitutes acceptance of the modified EULA.
